Please read these terms carefully before using our website or commissioning a consulting engagement with Solenne.

These Terms & Conditions ("Terms") set out the agreement between you and Solenne ("we", "us", "our"), operating from Level 7, KL Gateway, 2 Jalan Kerinchi, 59200 Kuala Lumpur, Malaysia. They apply to all visitors to our website at https://solenn.live and to all parties who engage Solenne for consulting services.

1. Definitions

  • "Agreement" means these Terms & Conditions, together with any engagement letter, statement of work, or written proposal accepted by both parties.
  • "Service" means the consulting services described on our website, including the Idea Shaping Session, Product Direction Engagement, and Innovation Practice Programme.
  • "Client" or "You" means any individual or organisation that commissions Services from Solenne or uses our website.
  • "We", "Us", "Our" means Solenne.
  • "Content" means all written materials, documents, templates, guides, and outputs produced by Solenne in the course of an engagement.
  • "Deliverables" means the specific documents or outputs agreed in a statement of work or engagement letter.

2. Acceptance of Terms

By using our website or engaging our Services, you confirm that you have read and agree to these Terms. If you are entering into this Agreement on behalf of an organisation, you confirm that you have the authority to bind that organisation. Our Services are intended for organisations and business professionals; individuals must be at least 18 years of age to engage us.

3. Service Description

Solenne provides B2B advisory and consulting services in the areas of innovation practice and product strategy. Our current service offerings are:

  • Idea Shaping Session — a guided working session to clarify a product or service concept, resulting in a one-page concept note (RM 600).
  • Product Direction Engagement — a multi-week advisory project resulting in a direction document and simple roadmap (RM 2,800).
  • Innovation Practice Programme — a structured advisory engagement to support organisational innovation practice, including a method guide and template set (RM 4,550).

Service availability is subject to our current capacity. We operate primarily within Malaysia but may accept engagements from organisations located elsewhere at our discretion. Scope, timeline, and specific outputs are confirmed in writing before work begins.

4. User Responsibilities

4.1 Acceptable Use

You agree to use our website and Services only for lawful purposes and in a manner consistent with applicable Malaysian law. You must not use the website to distribute harmful, offensive, or misleading content, or attempt to gain unauthorised access to our systems.

4.2 Engagement Conduct

During a consulting engagement, you agree to provide accurate information, attend agreed working sessions in good faith, and designate an appropriate contact person to coordinate with our team. The quality of our Deliverables depends in part on the information and access you provide.

4.3 Prohibited Activities

  • Reproducing or distributing our Content for commercial resale without written permission.
  • Reverse engineering, copying, or repurposing our templates or methodologies for competing advisory services.
  • Misrepresenting our outputs as independently produced work without our involvement.
  • Providing false or materially misleading information during an engagement.

5. Intellectual Property

All methodologies, frameworks, templates, and general know-how developed by Solenne remain our intellectual property. Upon full payment of all fees due, we grant you a non-exclusive, non-transferable licence to use the Deliverables prepared specifically for your engagement, for your internal business purposes only.

This licence does not permit you to sub-licence, resell, or publicly distribute Deliverables without our prior written consent. Any pre-existing Solenne materials incorporated into Deliverables (such as template frameworks or method guides) remain our property and are licensed to you on the same basis.

6. Payment Terms

Fees for Services are quoted in Malaysian Ringgit (RM) as set out in the engagement letter or written proposal. Payment terms are as follows:

  • Idea Shaping Session (RM 600): full payment due prior to the session date.
  • Product Direction Engagement (RM 2,800): 50% due on engagement confirmation; remaining 50% due upon delivery of the final direction document.
  • Innovation Practice Programme (RM 4,550): payment schedule agreed in writing at the start of the engagement.

We accept payment by bank transfer. Invoices are issued in MYR. If payment is not received within 14 days of the due date, we reserve the right to suspend work until the account is settled. Any taxes applicable to our fees are the Client's responsibility unless specifically noted.

6.1 Refunds and Cancellations

If you wish to cancel an engagement, please notify us in writing as early as possible. Deposits paid for work already commenced may not be fully refundable. We will assess each situation fairly and communicate our position in writing. We do not offer unconditional refunds once work has begun.

7. Engagement Terms

The scope, timeline, and expected Deliverables for each engagement are agreed in an engagement letter or statement of work signed by both parties before we begin. Any material changes to scope requested after work has commenced may affect fees and timelines, and will be agreed in writing before we proceed.

We aim to complete engagements within the timelines discussed, but reasonable adjustments may be necessary if agreed information or feedback is not received from the Client on schedule.

7.1 Confidentiality

We treat information shared by clients during engagements as confidential. We do not disclose client-specific information to other clients or third parties without your consent, except as required by law.

8. Disclaimers

Our Services are provided for general advisory and strategic thinking purposes. We are not a licensed financial adviser, legal practitioner, or regulated professional service provider. Nothing we produce constitutes professional legal, financial, investment, or accounting advice.

We provide our Services with reasonable care and skill, but we make no assurance that any particular business outcome will result from following our recommendations. Results depend on many factors outside our control, including your organisation's capacity, market conditions, and implementation choices.

The website and its content are provided on an "as is" basis. We do not warrant that the website will be uninterrupted or error-free.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, our total liability to you in connection with any engagement or use of our website shall not exceed the total fees paid by you to us in the relevant engagement. We are not liable for any indirect, consequential, special, or incidental losses, including loss of revenue, loss of data, or loss of business opportunity, even if we were advised of the possibility of such losses.

Nothing in these Terms limits our liability for fraud, gross negligence, or any other liability that cannot lawfully be excluded.

10. Indemnification

You agree to indemnify and hold harmless Solenne, its directors, and staff from any claim, loss, or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of our Deliverables, or any false or misleading information you provided during an engagement.

11. Termination

Either party may terminate an engagement by giving written notice if the other party commits a material breach that is not remedied within 14 days of written notice, or if the other party becomes insolvent or ceases to operate as a going concern.

Upon termination, fees for work completed up to the termination date remain payable. Deliverables completed and paid for may be retained by the Client. Sections 5, 8, 9, 10, and 12 of these Terms survive termination.

12. Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of any dispute, both parties agree to first attempt informal resolution by good-faith discussion, with a minimum period of 30 days to reach an agreed outcome. If informal resolution is not reached, disputes shall be referred to the courts of Malaysia, with Kuala Lumpur as the agreed jurisdiction.

13. General Provisions

  • Entire Agreement: these Terms, together with the relevant engagement letter or statement of work, constitute the entire agreement between the parties and supersede all prior discussions.
  • Severability: if any provision is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: you may not assign your rights under these Terms without our prior written consent.
  • Notices: formal notices should be sent by email to [email protected] or by post to our registered address.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Your continued use of our website or commissioning of Services after changes have been posted constitutes your acceptance of the updated Terms. For ongoing engagements, the Terms in force at the time the engagement letter was signed shall apply unless both parties agree otherwise in writing.
